FOR USE IN THE PROVINCE OF ONTARIO
PURCHASER AGENCY AGREEMENT

THIS Agreement made between (Purchaser-Address) _______________________________________________

______________________________________________________________hereinafter referred to as Purchaser,

and: (Broker –Address) Meridian Corporation, 1595 – 16th Avenue Suite 301, Richmond Hill,

hereinafter referred to as Broker.

1. PURCHASER retains Broker to act as his sole agent. Broker agrees to use reasonable efforts to locate for the Purchaser real property and/or assets or shares of a business, which the Purchaser desires to acquire (with full right of the Broker to co-operate with any sub-agents), and in connection therewith to procure for and on the behalf of the Purchaser, an accepted Offer to Purchase and/or; Option to Purchase and/or; Offer to Exchange.

2. PURCHASER agrees that during the currency of this Agreement or any renewal thereof, Purchaser will work exclusively with Broker for the purchase, option, and/or exchange of any real property, and/or assets or shares of a business.

3. PURCHASER agrees to refer all information regarding a potential real property and/or assets or shares of a business, from any source whatsoever to the Broker.

4. PURCHASER agrees to compensate Broker as set out more specifically below, if Purchaser, or any other person acting on the Purchaser’s behalf, successfully purchases, options and/or exchanges any real property, and /or assets or shares of a business.

A. Purchaser agrees to pay the Broker a non refundable fee of ($7,500.00) Seven Thousand Five Hundred Dollars, plus applicable federal goods and services tax (G.S.T.). and;

B. Purchaser agrees to pay and irrevocably authorizes and directs its solicitor to pay the Broker a total commission of________ %
of the purchase, option, and/or exchange price of the real property and/or assets or shares of a business, plus applicable federal goods and services tax (G.S.T.). Said commission shall be payable on completion of any sale, exchange, or in the case of an option, upon exercising the option.

5. FOR the purpose of this Agreement, “purchase” shall include the entering into of any Agreement to purchase, option, and/or exchange of any real property, and/or assets or shares of a business, during the currency of this Agreement, or within 180 days after the expiration of this Agreement, if said Agreement to purchase, option, and/or exchange is subsequently completed.

6. PURCHASER hereby appoints Broker his Agent for the purpose of giving and receiving notices pursuant to any Agreement of purchase option, and/or exchange.

7. THIS Agreement shall expire at 11:59 p.m. on the ____day of 20__

8. THE PURCHASER IS HEREBY NOTIFIED THAT A CONSUMER REPORT CONTAINING CREDIT AND/OR PERSONAL INFORMATION MAY BE REFERRED TO IN CONNECTION WITH IS AGREEMENT AND ANY SUBSEQUENT TRANSACTION,

9. PURCHASER also agrees to furnish Broker, upon request, with personal and financial information, and to ensure Purchaser’s ability to purchase, option, and/or exchange real property, assets or shares of a business. Purchaser hereby consents to having the Broker conduct or cause to be conducted a credit investigation.

10. THIS Agreement has been read and fully understood, and Purchaser acknowledges having received a true copy on signing. Any representation contained herein is true to the best of the Purchaser’s knowledge, information, and belief.

11. THIS Agreement shall be read with all changes of gender or number required by the context.
